Acceptance of Terms
By accessing or using the CICI Africa website at ciciafrica.com (the "Site"), or by engaging with any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services.
These Terms apply to all visitors, clients, talent, partners, and any other persons who access or use our Site or engage with CICI Africa in any capacity.
Our Services
CICI Africa provides creative and marketing services including but not limited to:
- Social media management and content creation
- Digital marketing campaign management (Meta Ads, Google Ads, TikTok Ads)
- Photography — portrait, commercial, campaign, and editorial
- Videography and video production
- Cinematography and full-scale film production
- Model and talent management and outsourcing
- Brand strategy and creative consulting
- Culture content and editorial media
The specific scope, deliverables, timelines, and fees for any engagement are agreed upon separately in a written service agreement or proposal accepted by both parties. These Terms apply in addition to, and do not replace, any such agreement.
Use of the Website
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Use the Site in any way that violates applicable local, national, or international law or regulation
- Transmit unsolicited or unauthorised advertising or promotional material
- Attempt to gain unauthorised access to any part of the Site or its related systems
- Use automated tools, bots, or scrapers to extract data from the Site without our written consent
- Submit false, misleading, or fraudulent information through any form on the Site
- Reproduce, duplicate, or resell any part of the Site without express written permission
Bookings & Engagements
Submitting a booking brief or enquiry through our Site does not constitute a confirmed booking or binding agreement. A booking is only confirmed once both parties have agreed in writing to the scope, fees, and dates, and any required deposit has been received.
All confirmed bookings are subject to the terms of a separate booking agreement or service contract issued by CICI Africa. Key conditions typically include:
- Cancellations made less than 48 hours before a scheduled shoot date may forfeit any deposit paid
- Rescheduling is subject to talent and crew availability and may incur an administrative fee
- Any change to agreed scope — including additional shoot days, locations, or deliverables — will be quoted and approved separately
- The client is responsible for ensuring all necessary permits, props, and location access are arranged unless otherwise agreed
Payment & Fees
All fees are quoted in Tanzanian Shillings (TZS) unless otherwise stated. Payment terms are specified in the service agreement issued for each engagement. Standard terms are:
- 50% deposit required to confirm a booking or commence ongoing service retainers
- Remaining balance due within 7 days of project delivery or as agreed in the service contract
- Late payments may incur a late fee of 5% of the outstanding amount per 30-day period
- CICI Africa reserves the right to pause or withhold deliverables until outstanding invoices are settled
- Ad spend budgets for campaign management are paid directly by the client to the respective platforms — CICI Africa does not hold or advance ad spend funds on behalf of clients
Intellectual Property
All content on the Site — including text, graphics, logos, photography, video, and software — is the property of CICI Africa or its licensors and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without our express written consent.
With respect to deliverables produced for clients:
- CICI Africa retains ownership of all creative work until full payment is received
- Upon receipt of full payment, the agreed usage licence (as specified in your service contract) transfers to the client
- CICI Africa reserves the right to use deliverables in its portfolio, case studies, and promotional materials unless the client requests otherwise in writing prior to the engagement
- Raw, unedited files are not included in standard deliverables unless explicitly agreed upon
User-Submitted Content
When you submit content to us — including project briefs, brand assets, reference images, or other materials — you represent that you own or have the right to share that content and that it does not infringe the intellectual property rights of any third party.
By submitting content, you grant CICI Africa a non-exclusive, royalty-free licence to use that content solely for the purpose of fulfilling your engagement with us. We will not use your submitted materials for any other purpose without your consent.
Confidentiality
Both parties agree to treat as confidential any non-public information shared during the course of an engagement, including but not limited to campaign strategies, creative briefs, unreleased brand assets, and business plans.
CICI Africa will not disclose your confidential information to any third party except as necessary to deliver the agreed services or as required by law. Clients equally agree not to disclose confidential information about CICI Africa's pricing, internal processes, or talent relationships.
Disclaimers
The Site and all content on it are provided "as is" and "as available" without warranty of any kind, express or implied. CICI Africa does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
While we take reasonable care to ensure all information on the Site is accurate and up-to-date, we make no representations or warranties regarding completeness, accuracy, reliability, or suitability of the information for any particular purpose. Package pricing, availability, and service descriptions are subject to change without notice.
Limitation of Liability
To the fullest extent permitted by applicable law, CICI Africa shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site or our services, including but not limited to loss of revenue, loss of data, or reputational harm.
Our total liability to you for any claim arising from or related to our services shall not exceed the total amount paid by you to CICI Africa in the three months preceding the claim.
Termination
CICI Africa reserves the right to suspend or terminate your access to the Site or any ongoing service engagement at any time if you breach these Terms or act in a manner that is harmful to us, our talent, or other clients.
Clients wishing to terminate an ongoing retainer agreement must provide written notice as specified in their service contract. Fees accrued up to the termination date remain payable. Deposits are non-refundable unless CICI Africa is at fault for the termination.
Governing Law
These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Dar es Salaam, Tanzania.
For international clients, we aim to resolve disputes amicably before any formal legal process. Where applicable, mediation through an agreed neutral party may be pursued as a first step.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of the Site or our services after any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. For ongoing service clients, we will notify you of material changes by email where possible.
